NEW CUMBERLAND YOUTH BASEBALL ASSOCIATION
CONSTITUTION
ARTICLE 1
This organization shall be known as the "New Cumberland Youth Baseball Association", hereinafter referred to as "Association".
ARTICLE II - OBJECTIVE
Section 1. The objective of the New Cumberland Youth Baseball Association shall be to teach the game of baseball while striving to instill in youth the ideals of good sportsmanship and the importance of working together as a team and to provide an environment of support and encouragement for youth of all skill levels.
Section 2. To achieve this objective, the New Cumberland Youth Baseball Association will provide a supervised program of competitive baseball. All Directors, Officers, and Members shall bear in mind that the attainment of exceptional athletic skill or the winning of games is secondary, and will have a positive impact on the next generation of players by providing the positive atmosphere and life experience we are attempting to create.
ARTICLE III – MEMBERSHIP
Section 1 - Eligibility and Classes - Any person sincerely interested in active participation to support the objectives of this Association will be recognized as an active member. The membership roster shall include the following classes of members:
a) Player Members
Any boy or girl meeting the requirements set forth by the Board of Directors shall be eligible to register for participation in the Association as a Player Member, but shall have no rights, duties or obligations in the management or in the property of the Association. Player Members will have no voting privileges. To be eligible for participation in the Association as a Player Member a child must:
- Have attained the age of five (5) and not have attained the age of seventeen (17)) on or before April 30th of the year in which the child desires to participate;
- Have at least one parent or guardian who is a Regular Member of the Association in good standing; and
- Reside within the West Shore School District OR attend school in New Cumberland, PA OR have a sibling who participated as a Player Member in the Association in the current or immediately preceding year.
Note: If a child changes residence after he or she is accepted as a Player Member the child may continue to register and participate in the Association as a Player Member provided the registration is consecutive to any prior years of participation and requirements number 1 and 2 above are met.
Children ages 13-16 who register for participation in the Association’s Teener Program may be subject to additional eligibility requirements as set forth by the governing body of the Teener Program. These requirements may include the need to obtain a waiver if a child resides outside of the geographic boundaries specified for the Teener Program.
b) Regular Members
Any parent or guardian of a child eligible for Player Membership may be considered a Regular Member upon payment of all registration fees for the current season of the Association. The current season is defined to begin on March 1 and extend 12 months until the last day of February of the following year. Parents or guardians who are Regular Members in good standing may vote in the election of the Board of Directors at the Annual Meeting provided they meet the attendance requirements set forth in Article V Section 5.
c) Volunteer Participant Members
Volunteer Participant Members include any active coaches, managers, and assistant coaches. This also includes any person 18 years or older that has volunteered to serve the Association during the current season including team parents, assistant team parents, concession stand workers, scorekeepers, and other fundraising, administrative and maintenance activities. All Volunteer Participant Members may be subject to a background check to be considered an active member in good standing. Anyone who is convicted of a sexual offense against a minor is prohibited from being a Volunteer Participant Member and is not permitted to participate in any capacity representing the Association. Volunteer Participant Members in good standing may vote in the election of the Board of Directors at the Annual Meeting provided they meet the attendance requirements set forth in Article V Section 5.
ALL members must be in compliance with the Association’s Member Code of Conduct and the rules and regulations of the Association to be considered a member in good standing.
Section 2 – Other Affiliations
Members shall not be required to be affiliated with another organization or group to qualify as members of the Association.
Section 3 –Exceptions
Any exceptions to the Association’s membership policies must be approved by the Board of Directors by a majority vote of those present at any duly constituted meeting.
Section 4 – Suspension or Termination - Membership may be terminated by resignation or by action of the Board of Directors due to just cause. Just cause may be determined as acts or deeds, which are contrary to the welfare of the Association or its players, including but not limited to violations of the Member Code of Conduct. Unacceptable behavior shall be defined as acts or deeds of any player or member that are contrary to the Association’s objectives as outlined in Article II, Section 1 and as outlined in the Association’s Member Code of Conduct.
The Board of Directors, by a majority vote of those present at any duly constituted meeting, shall have the authority to discipline or suspend any members of any class when the conduct of such person is considered detrimental to the best interests of the Association as defined above. The Board of Directors, by a two-thirds vote of those present at any duly constituted meeting, shall have the authority to terminate any member of any class when the conduct of such person is considered detrimental to the best interests of the Association as defined above. The member involved shall be informed of the general nature of the charges and given the opportunity to appear at a meeting to answer such charges. The deliberations and subsequent vote of the Board of Directors shall be conducted in a closed session.
ARTICLE IV - DUES
All Player Members are required to participate one hundred percent in fund raising promotions or be assessed a fee to be determined by the Association in order to play baseball.
ARTICLE V - MEETINGS
Section 1. Association Meetings. The Association shall hold an Annual Meeting during the month of September of each year at which Directors shall be elected for the ensuing years, and reports of all Officers and Committees presented for approval of the membership. Directors shall be elected by a majority vote of the Regular Members present. The place, time and date of the Annual Meeting shall be determined by the Board of Directors, and notice of same shall be given to the membership at least ten (10) days in advance thereof.
Section 2. Board Meetings. Meetings of the Board of Directors shall be held on a monthly basis from January to November. Board meetings are open to all members. Special meetings of the Board of Directors shall be held whenever the President deems it advisable or upon submission of a written request to the President by at least (50%) percent of the Members of the Board of Directors. Reasonable advance notice of said meetings shall be given by the Secretary or President, either in writing or otherwise.
Section 3. Special Meetings. Special meetings of the Association may be called by the President, at his discretion, or upon written request of fifteen (15) or more Regular Members of the Association. The Secretary shall give reasonable advance notice of all Special Meetings of the Association to the Membership. If the situation warrants the President may declare all or part of any special Association meetings to be a closed executive session. Any recommended action resulting from a Special Meeting will be considered at the next regularly scheduled or special meeting of the Board of Directors.
Section 4. Quorum. Quorum for regular or special meetings shall consist of the presence of the President or Vice-President and that one other officer in addition to fifty (50%) percent of the remaining Board Members.
Section 5. Voting. Regular members shall be entitled to vote only at the annual meeting of the Association, provided they have attended two previous meetings during the current fiscal year. Proxy votes shall not be permitted.
Section 6. Rules of Order. Roberts Rules of Order shall govern the proceedings of all meetings, except where same conflicts with the Constitution of the Association.
ARTICLE VI - BOARD OF DIRECTORS
Section 1. Board and Number. The management of the property and affairs of the Association shall be vested in the Board of Directors. The number of Directors shall not be less than thirteen (13), nor more than twenty-five (25). Upon elections, the Directors shall enter upon the performance of their duties and shall continue in office until their successors shall have been duly elected.
Section 2. Officers. Officers shall be elected from the Board Membership by the Board Membership within five (5) days of the Annual Meeting.
Section 3. Election and Term of Office. All directors shall be elected for the term of two (2) years. Election of Directors shall take place yearly, with the even number of directors elected in the even years, and the odd number of directors elected in the odd years. Officers are then elected for a term of one (1) year.
Section 4. Vacancies. If any vacancy occurs in the Board of Directors, by death, resignation or otherwise, it may be filled by the President with the concurrence by a majority of the Directors.
Section 5. Attendance. Beginning with the Board meeting in October, any person after their 3rd absence in their term will be brought before the board to see if you will be retained on the board.
Section 6. Suspension or Termination. Board membership may be suspended or terminated by action of the Board of Directors by two-thirds (2/3s) vote of the Board of Directors present.
ARTICLE VII - DUTIES AND POWERS OF OFFICERS
Section 1. Officers. The Officers of the Association shall consist of a President, Vice-President, Secretary, and Treasurer, all of whom shall hold office for one (1) year, commencing within five (5) days of the Annual Meeting, or until their successors are duly elected.
Section 2. President. The President shall be responsible for conducting the affairs of the Association and for executing the policies established by the Board of Directors. S/He shall present a report of the condition of the Association at the Annual Meeting, and at such other times as s/he or the Board shall deem appropriate. S/He shall communicate to the Board of Directors such matters and make such suggestions as may, in his/her opinion, tend to promote the welfare of the Association.
S/He shall be responsible for the conduct of the Association in strict conformity to the policies, principles, rules and regulations of the Association.
S/He should preside at all meetings of the Members and Board of Directors.
The President, or such other officers as s/he may designated in writing, shall have the power to make and execute for and in the name of the Association such contracts and leases as may have received the prior approval of the board.
S/He shall investigate all complaints, irregularities and conditions detrimental to the Association and report thereon to the Board.
S/He shall appoint Commissioners and Chairpersons as deemed necessary by the Board of Directors and outline their duties.
Section 3. Vice President. In case of the absence or disability of the President, the Vice-President shall perform the duties of the President, and then so acting, shall have all the powers of that office, and shall have such other duties as from time to time may be assigned to his/her by the Board of Directors or by the President.
Section 4. Secretary. The Secretary shall be responsible for recording the activities of the Association and maintaining appropriate files, mailing lists and necessary records. And shall perform such duties as are herein specifically set forth in addition to such duties as are herein specifically set forth in addition to such duties as are customarily incident to the office of the Secretary or as may be assigned by the Board of Directors.
S/He shall keep the minutes of the meetings of the Members and the Board of Directors and cause them to be recorded in a book kept for that purpose.
S/He shall conduct all correspondence not otherwise specifically delegated in connection with said meetings and shall be responsible for carrying out all orders, votes and resolutions not otherwise committed.
S/He shall notify Members, Directors, and Officers of their election or appointment.
Section 5. Treasurer. The Treasurer shall perform such duties as herein specifically set forth and such other duties as we customarily incident to the office of Treasurer or may be assigned to him/her by the Board of Directors.
S/He shall receive all monies and securities, and deposit same in a depository approved by the Board of Directors.
S/He shall keep records for the receipt and disbursement of all monies and securities of the Association, approve all payments from all allotted funds and draw checks therefore.
Treasurer is responsible to, have yearly financial report at the September Meeting.
ARTICLE VII – COACHES
A Roster of Coaches shall be presented annually by the Commissioner to the Board of Directors for approval. The coaches shall be responsible for the selection of their teams and for their actions on the field.
ARTICLE IX - FINANCIAL AND ACCOUNTING
Section 1. No Director, Officer, or Member of the Association shall receive directly or indirectly any salary, compensation, or emolument from the Association for services rendered as Directors, Officer or Member.
Section 2. All monies received shall be deposited promptly to the credit of the Association in a local bank as determined by the Board of Directors. All disbursements shall be made by check. All checks shall be signed by the Association Treasurer and President or Vice-President.
Section 3. In the event of dissolution of the Association, all monies on hand after satisfying all creditors shall be transferred to the Borough of New Cumberland municipality, with a request that the monies be used towards youth recreational programs.
ARTICLE X - AWARDS
Awards to player members and coaches shall be authorized at the discretion of the Board of Directors.
ARTICLE XI - AMENDMENTS
The Constitution may be amended, repealed or altered in whole or in part by a majority vote at a regularly scheduled meeting. Amendments are to be presented at a regularly scheduled meeting and ratified or disapproved at the next regularly scheduled Board of Directors meeting in accordance with Article XII. Prior to ratification, absent Board Members must be given a two (2) day notice that amendments are proposed.
ARTICLE XII - RATIFICATION
The Constitution shall become binding upon all Members of the Association and after this Constitution has been ratified and approved by a two-thirds (2/3s) majority vote of Board of Directors. The secretary shall certify on the original hereof that compliance has been conducted with this article.
The secretary shall be responsible for updating the original Constitution and all ratified amendments and such original shall become a part of the permanent records of the Association.
THIS CONSTITUTION was approved and adopted at the organization meeting of the New Cumberland Youth Baseball Association held at the Baughman United Methodist Church, Third and Bridge Streets, New Cumberland, Pa. 17070 on Tuesday, November 10, 2009.
